Terms & Conditions

The rules of the road for using InvoiceX. We've kept the legalese to a minimum and the actual rules in plain language.

The TL;DR

Use InvoiceX to invoice real businesses, not to scam or launder money. Pay your subscription. Your data stays yours. We can't promise the app is bug-free, but we won't be reckless with your money or your customers'.

1. The agreement

These Terms are a contract between you and Loop Technologies Ltd. ("InvoiceX", "we", "us"), a company registered in Ghana (RC No. CS-209432021). By creating an account, downloading the app, or using app.invoicex.com, you agree to be bound by these Terms and our Privacy Policy.

If you're using InvoiceX on behalf of a business, you confirm you have the authority to bind that business.

2. Your account

  • You must be at least 18 and able to enter a binding contract under Ghanaian law.
  • Keep your sign-in credentials confidential. You're responsible for everything that happens under your account.
  • Information you provide (business name, VAT, payout details) must be accurate. We may verify it before enabling payouts.
  • One business account per legal entity. If you operate multiple businesses, add them as separate businesses under your account on Pro or Studio.

3. Acceptable use

You agree not to:

  • Use InvoiceX to invoice for goods or services that are illegal in Ghana or the destination jurisdiction.
  • Send invoices to people who have not done business with you, or to harass anyone.
  • Attempt to reverse-engineer, scrape, or interfere with the service.
  • Upload malware, phishing content, or anything that infringes someone else's rights.
  • Use InvoiceX to launder money, finance terrorism, or evade tax. We cooperate with the Financial Intelligence Centre when required.

We can suspend or close accounts that break these rules. For serious or fraudulent breaches we'll act immediately and explain afterwards.

4. Payments & fees

Starter is free. Pro is ₵120/month per account; Studio is ₵320/month per workspace. Prices are in Ghanaian cedis, exclude VAT, and may change with 30 days' notice.

Paid subscriptions auto-renew monthly until you cancel. Cancellation takes effect at the end of the current billing period — we don't pro-rate refunds for partial months unless required by law.

When your customers pay you through InvoiceX, our payment partners charge a processing fee (typically 1.5–2.9%, shown before you accept). InvoiceX itself does not take a cut of your customer payments on Starter or Pro.

5. Payouts & refunds

Settled funds are paid to your verified bank or mobile-money account on a T+1 schedule for cards and same-day for mobile money. Payouts may be held for up to 7 days while we complete verification or investigate a dispute.

You are responsible for refunds to your customers. We provide one-tap refunds inside the app; processing fees on the original transaction are non-refundable.

Chargebacks raised against you reduce your balance. Persistent chargebacks above 1% of volume may lead to suspension of payment processing.

6. Your content

Your invoices, client list, logo, and everything else you put into InvoiceX remain yours. You grant us a limited licence to host, copy, and transmit that content solely to operate the service for you.

We do not use your invoice data or client data to train machine-learning models or for any purpose other than running InvoiceX.

7. Our IP

The InvoiceX name, logo, app, web service, and all underlying code remain the property of Loop Technologies Ltd. You may not copy, modify, or redistribute them. You get a limited, non-exclusive, non-transferable licence to use the service for as long as your account is in good standing.

8. Term & termination

These Terms run for as long as you use InvoiceX. You can close your account at any time from Settings → Account → Close account; we will return outstanding funds within 7 business days, minus any reserves required to cover potential chargebacks.

We may terminate or suspend your account for material breach (e.g. fraud, abuse, non-payment) with notice when practical and immediately when not. On termination, your right to use the service ends — but your data export rights survive.

9. Warranties & disclaimers

We work hard to keep the service running and reliable, but we provide it "as is" without warranties of merchantability, fitness for a particular purpose, or that it will be uninterrupted or error-free. InvoiceX is not a substitute for professional tax, accounting, or legal advice.

10. Limitation of liability

To the maximum extent permitted by law, Loop Technologies Ltd. will not be liable for indirect, incidental, consequential, or punitive damages. Our total liability for any claim arising from these Terms is capped at the greater of (a) the fees you paid us in the 12 months before the claim, or (b) ₵5,000.

Nothing in these Terms limits liability that cannot be limited by Ghanaian law — including liability for fraud, gross negligence, or wilful misconduct.

11. Governing law & disputes

These Terms are governed by the laws of the Republic of Ghana. We'll try to resolve any dispute informally first — write to legal@invoicex.app. If that fails, the courts of Accra have exclusive jurisdiction.
